These Terms of Service (“Terms”) govern your access to and use of the Altairium platform and services (“Service”) operated by Altairium Agency Ltd Co. (“Altairium,” “we,” “our,” or “us”). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
Altairium provides a cloud-based platform that assists nonprofit organizations, educational institutions, and individual grant professionals with grant discovery, pipeline management, application drafting, funder relationship management, post-award tracking, and related grant management tools. The Service also includes a Training & Learning Management System (“LMS”) that allows organizations to create and deliver video-based courses with scored quizzes, issue digital certificates of completion to learners, and manage learner enrollment and progress. Additional features include AI-assisted grant writing, AI pipeline analysis, document editing, snippet libraries, organizational profile management, and reporting utilities.
The Service is offered as a subscription product. Some features are available to all subscribers; others require specific feature entitlements as described on our pricing page. We reserve the right to add, modify, or discontinue features with reasonable notice.
You must be at least 18 years old and have the legal authority to enter into binding agreements on behalf of yourself or your organization. By creating an account, you represent that you meet these requirements.
Institutional accounts require a valid access code issued by Altairium. Unauthorized use of institutional access credentials is prohibited and may result in immediate account termination.
Learner accounts created through a course invitation link are subject to these Terms in full. By accepting a course invitation and creating an account, the learner agrees to be bound by these Terms.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at company@altairiumagency.com of any unauthorized use.
You may not share your login credentials with others or allow multiple individuals to access the Service through a single account unless authorized under your subscription tier.
Certain features of the Service require a paid subscription. Subscription fees are billed in advance on a monthly or annual basis and are non-refundable except as required by applicable law or as otherwise stated in writing by Altairium.
We reserve the right to change subscription pricing with at least 30 days' notice. Continued use of the Service after a price change constitutes acceptance of the new pricing. Payments are processed by Stripe, Inc. Your payment information is subject to Stripe's terms and privacy policy and is not stored on Altairium's servers.
Failure to pay may result in suspension or termination of your account and loss of access to all platform features, including previously created training courses, learner progress records, and grant pipeline data. Institutional accounts provided at no charge are subject to continued eligibility and may be revoked at Altairium's discretion.
Promotional codes and discounts are subject to the terms of the specific promotion and may be revoked if obtained through fraudulent means. Altairium reserves the right to correct billing errors retroactively.

Educational disclaimer:
Certificates issued through the Altairium LMS are platform-generated records confirming that a user completed the required modules and achieved the required quiz score as configured by the issuing organization. They are not professional certifications, accredited credentials, continuing education credits, or licensure of any kind. Altairium makes no representation about the recognition, value, or acceptance of these certificates by any third party, employer, regulatory body, or educational institution.
The Service uses artificial intelligence tools, including large language models provided by third-party providers (currently Groq and Google Gemini), to assist with grant writing, scoring, pipeline analysis, document editing, and other drafting tasks. You acknowledge and agree that:
You retain ownership of all content, data, and materials you upload or create within the Service (“Your Content”), including organizational profiles, grant applications, documents, training courses, quiz content, and learner-generated responses. By using the Service, you grant Altairium a limited, non-exclusive, worldwide, royalty-free license to store, process, and display Your Content solely as necessary to provide and improve the Service.
You represent that Your Content does not violate any applicable law, infringe any third-party intellectual property or privacy rights, or contain false or misleading information. You are solely responsible for the accuracy of information submitted in grant applications and for the accuracy and legality of training course content you create and publish to learners.
You acknowledge that other users within your organization may access Your Content in accordance with their assigned roles and permissions, and that learner progress data may be visible across organizations as described in Section 5 and our Privacy Policy.
You agree not to use the Service to:
Altairium and its licensors own all rights, title, and interest in and to the Service, including all software, algorithms, interfaces, templates, LMS infrastructure, and documentation. Nothing in these Terms grants you any ownership interest in the Service itself.
“Altairium” and the Altairium logo are trademarks of Altairium Agency Ltd Co. You may not use our trademarks without prior written permission. Certificates issued through the platform may display Altairium branding as the platform issuer; this does not constitute an endorsement by Altairium of the certificate or its contents.
The Service integrates with third-party providers including Supabase (database and authentication), Stripe (payments), Groq and Google (AI services), and Vercel (hosting). Your use of these services through our platform is also subject to those providers' own terms and privacy policies. Altairium is not responsible for the availability, accuracy, or practices of third-party providers.
The Grant Finder feature may surface data from third-party sources including Grants.gov. Altairium does not guarantee the accuracy or completeness of third-party grant data and is not responsible for grant opportunities that are inaccurate, expired, or unavailable.
You may cancel your account at any time through your account settings or by contacting us. We reserve the right to suspend or terminate your access to the Service at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, third parties, or the Service.
Upon termination, your right to use the Service ceases immediately. Termination of an organization's account will also suspend access for all team members and learners associated with that organization. We will retain your data for 90 days following termination before permanent deletion, during which you may request an export.
Certificates issued prior to termination are not revoked by Altairium upon account termination; however, Altairium does not guarantee ongoing access to certificate verification after termination.
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. ALTAIRIUM DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. ALTAIRIUM MAKES NO WARRANTY REGARDING THE QUALITY, ACCURACY, OR COMPLETENESS OF TRAINING COURSE CONTENT CREATED BY THIRD-PARTY ORGANIZATIONS ON THE PLATFORM, OR THE RECOGNITION OR ACCEPTANCE OF ANY CERTIFICATES ISSUED THROUGH THE SERVICE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ALTAIRIUM AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST GRANT FUNDING, LOST TRAINING OPPORTUNITIES, LOSS OF CERTIFICATION VALUE, OR DATA LOSS, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO ALTAIRIUM IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).
You agree to defend, indemnify, and hold harmless Altairium and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) Your Content, including any training course content you create and publish; (c) certificates you issue to learners through the platform; (d) your violation of these Terms; or (e) your violation of any third-party right, including any intellectual property, privacy, or publicity right.
These Terms are governed by the laws of the Commonwealth of Kentucky, without regard to conflict of law principles. Any dispute arising from these Terms or the Service shall be resolved through binding arbitration in Jefferson County, Kentucky, except that either party may seek injunctive relief in court for intellectual property violations or unauthorized use of the Service.
YOU WAIVE ANY RIGHT TO A JURY TRIAL OR TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION WITH RESPECT TO ANY CLAIM ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICE.
We may update these Terms from time to time. We will notify you of material changes by email or through a notice in the Service at least 14 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Altairium regarding the Service and supersede all prior agreements or understandings. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
